1. Services

Simplicity Labs provides AI automation services, including custom AI agents, workflow automation, and data connectors. The specific scope, deliverables, and pricing for each project are agreed upon separately.

2. Intellectual Property

Unless otherwise agreed in writing:

• Your data is yours: All business data, customer information, and content you provide remains your property
• We own the code: AI agents, workflows, and software we build remain the intellectual property of Simplicity Labs
• You get a license: You receive a perpetual, non-exclusive license to use the solutions we build for your business
• We may reuse solutions: We may adapt and license similar solutions to other (non-competing) businesses

Why this model? This allows us to offer reduced development costs while you benefit from ongoing updates and improvements as we enhance the product. Think of it like a SaaS, you get a powerful tool that gets better over time, without paying full custom development rates.

3. What's Included in Subscriptions

All monthly subscriptions include:

• Hosting & maintenance: We host, monitor, and maintain your solution
• 1 hour monthly consultancy: Strategic advice, troubleshooting, or planning calls
• Unlimited feature requests: Submit requests anytime, we work on one at a time, in order received
• Ongoing improvements: As we enhance the product, you benefit from updates at no extra cost

Note: Feature requests are enhancements to existing functionality. Major new modules or significant rebuilds may be quoted separately.

4. Payment

Payment terms are specified in individual project agreements. Unless otherwise stated:

• Invoices are due within 14 days
• All prices are in EUR and exclude VAT (where applicable)
• We reserve the right to pause work on overdue accounts

5. Confidentiality

We treat all client information as confidential. We will not share your business data, strategies, or project details with third parties without your consent, except as required by law.

6. Liability

We strive to deliver high-quality work, but:

• Our liability is limited to the amount paid for the specific service
• We are not liable for indirect, consequential, or incidental damages
• AI systems may produce unexpected results; you're responsible for reviewing outputs before use in production

7. Termination

Either party may terminate a project agreement with written notice. Upon termination:

• Payment is due for all work completed up to that point
• We will provide you with any deliverables completed
• Confidentiality obligations remain in effect

8. Force Majeure

Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, war, government actions, or major infrastructure failures.

9. Governing Law

These terms are governed by Dutch law. Any disputes will be submitted to the competent court in Amsterdam, the Netherlands.

10. Changes

We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the new terms.
